Some services may be beta or experimental in nature. These are provided "as is" and may be modified or removed at any time without prior notice.

3. Appointment Booking System

3.1 Free Consultation

You can book a free consultation appointment through our website. This service is available for potential clients to discuss their projects.

3.2 Booking Conditions

• Maximum 2 free consultations per person per calendar year
• Appointments are scheduled in Vancouver timezone (PST/PDT)
• Must book at least 24 hours in advance
• Must provide accurate and truthful information

3.3 Cancellation and Modification

3.4 No-Show Policy

If you fail to attend a scheduled appointment without prior notice, this constitutes a no-show. After two no-shows, we reserve the right to refuse future appointment bookings.

3.5 Technical Requirements

Consultations are conducted online. Required: stable internet connection, webcam, microphone, and Zoom/Google Meet application.

4. User Responsibilities

4.1 Acceptable Use

You agree to:

• Provide accurate and up-to-date information
• Respect others' intellectual property rights
• Not damage or disrupt our systems

4.2 Prohibited Activities

You must not:

• Provide false or misleading information

You are responsible for your account security. Please notify us immediately if you suspect unauthorized access to your information.

5. Intellectual Property

5.1 Company Property

All content, functionality, software code, and design of our website is owned by ORYNEX INTERNATIONAL LLP. These are protected by international copyright, trademark, patent, and trade secret laws.

We grant you a limited, non-exclusive, non-transferable license to use our services for personal or business purposes, subject to compliance with these terms.

5.3 Client Content

Information, documents, and ideas shared during consultations remain your property. We use them only to the extent necessary for service provision.

5.4 Developed Software

Ownership of custom software developed for you will be determined according to the project agreement, typically transferring to the client upon full payment.

6. Limitation of Liability

6.1 General Limitation

ORYNEX INTERNATIONAL LLP shall not be liable for indirect, incidental, special, or consequential damages, including loss of profits, data, use, or goodwill.

6.2 Maximum Liability

Our total liability for any claim shall not exceed the amount you paid us in the previous 12 months, or CAD $100 for free services.

6.3 Force Majeure

We are not liable for events beyond our reasonable control (natural disasters, war, terrorism, internet outages, etc.).

7. Privacy and Confidentiality

7.1 Privacy Policy

Our data handling practices are detailed in our Privacy Policy. Please read it carefully.

7.2 Confidentiality

We treat business information shared during consultations confidentially and do not share it with third parties without your consent.

7.3 NDA Requests

You may request a separate non-disclosure agreement (NDA) before discussing sensitive information.

8. Payment Terms

8.1 Free Services

Free consultations are truly free. There are no hidden costs or subsequent charges.

8.2 Paid Projects

Proposals prepared after consultation are subject to separate contracts. Payment terms are always agreed in advance and documented in writing.

• Bank transfer (CAD, EUR, USD)
• PayPal
• Stripe (credit cards)

9. Warranties and Disclaimers

9.1 Service Quality

We provide our services with professional care and according to industry standards. However, we cannot guarantee they will meet your specific needs in all cases.

9.2 Disclaimer of Warranties

To the maximum extent permitted by law, we disclaim all express or implied warranties, including warranties of merchantability or fitness for a particular purpose.

9.3 Bug Fixes

For developed software, we provide a warranty period as detailed in the project contract.

10. Termination

We reserve the right to terminate service provision immediately if you violate these terms or engage in illegal activities.

10.2 Termination by You

You may stop using our services at any time. For ongoing projects, termination conditions are specified in the project contract.

10.3 Effects of Termination

Upon termination, your access to our services ceases. Payment obligations for work completed before termination remain in effect.

11. Governing Law and Disputes

These terms are governed by the laws of British Columbia and Canada, without regard to conflict of law principles.

11.2 Jurisdiction

For all disputes, we recognize the exclusive jurisdiction of the courts of British Columbia.

11.3 Alternative Dispute Resolution

Before litigation, we strive to resolve disputes through peaceful negotiation. We also accept mediation or arbitration if necessary.

12. Miscellaneous Provisions

12.1 Severability

If any provision of these terms is found invalid, the remaining provisions continue in effect.

These terms and our privacy policy constitute the entire agreement between us. Previous agreements are superseded by this.
